SUTRADHAR is a non-profit organisation working to give every child in India a good education. Proceeds from the sale of products from our website go into making this dream come true. 7. RETURNING PRODUCTS

Products bought from SUTRADHAR are not returnable. SUTRADHAR undertakes to carefully check the products and pack them before delivery. Under the exceptional circumstance of a manufacturing defect, you can exchange the product at a SUTRADHAR outlet within 2 days of receipt of product.

8. DISCLAIMER

10. GOVERNING LAW AND ARBITRATION

1. The Parties agree that any and all disputes arising out of or in connection with or in relation to this agreement shall be attempted to be settled amicably failing which it shall be referred to Arbitration to be conducted as per the Arbitration and Conciliation Act, 1996. The parties shall jointly appoint the arbitrator. The venue of Arbitration shall be Bangalore. 2. These Terms and Conditions of Use and the terms and conditions contained in other Sites and the relationship between SUTRADHAR and buyers shall be governed by and construed in accordance with the laws of India without regard to the conflict of laws. The parties agree that any dispute or claim arising out of or relating to these Terms and Conditions of Use and the relationship between SUTRADHAR and buyers shall be submitted to the exclusive jurisdiction of the courts located at Bangalore, India.

11. LINKS

The Website may contain links to other sites on the Internet that are owned and operated by third party vendors, supportive organisations and any other entities with whom SUTRADHAR maintains relationships. SUTRADHAR is not responsible for the availability of, or the content located on or through, any web link on the Website. SUTRADHAR is not responsible for examining or evaluating, and does not warrant the offerings of, any of these businesses or individuals or the content of their websites. 12. NOTICE

Any notice to be given by either party to the other shall be sent in writing and shall be deemed to have been delivered if it is delivered by hand or sent either through a registered post acknowledgement due, facsimile, electronic mail with confirmation of receipt or by a recognised courier service. All notices delivered by hand, registered post acknowledgement due or by a courier shall be sent to SUTRADHAR at the address described below:

13. FORCE MAJEURE

The parties agree that any failure or omission by any party to carry out or observe any of the terms or conditions of this Agreement including loss of data, as a result of or arising from any extraneous cause entirely beyond the control of that party, shall not be subject to any claims for damages, termination or performance by the other party.

14. MODIFICATION OF CONDITIONS, SEVERABILITY

1. Not withstanding anything contained any where on this Site, SUTRADHAR in its sole discretion reserves the right, at any time, to add or delete or modify some or all of these Terms and Conditions of Use, including but not limited to modifications made to any of the schedules contained herein. 2. The amended Terms and Conditions of Use will be posted on SUTRADHAR Web Site and the effective date of any such amendment will be the date on which the amended Terms and Conditions of Use is so posted. The amended Terms and Conditions of Use shall then constitute the Agreement for all those buying products from SUTRADHAR. 3. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any of the remaining conditions.

15. MISCELLANEOUS

1. No relationship of agency: This Agreement does not create an agency, partnership or similar relationship between the parties. Neither party shall acquire any rights to use in advertising, publicity or other marketing activities, any name, trade name, trademark or other designation of either party, without the prior written consent of the other partners. 2. Section headings: The section and subsection headings used herein are for reference and convenience only, and shall not enter into the interpretation hereof 3. Entire agreement: This Agreement and any exhibits annexed hereto, constitute the entire agreement between the parties. The parties agree that no change, waiver, or discharge to this agreement shall be valid unless it is presented by one party to the other party in writing and the other party accepts such change, waiver or discharge and communicates such acceptance in writing. This Agreement supersedes all prior discussions, agreements or exchanges in communication and constitutes the entire agreement with respect to the subject matter thereof.
